  • The Company does not guarantee outcomes, approvals, government actions, or third-party decisions.
  • Recommendations or guidance provided shall not be construed as financial, legal, or professional warranties.
  • The User is solely responsible for decisions made based on the Services.

7. Limitation of Liability

To the fullest extent permitted by law:

  • Syntrix shall not be liable for any indirect, incidental, consequential, punitive, or special damages.
  • We are not responsible for delays, data loss, unauthorized access, technical failures, system interruptions, or errors.
  • Our total cumulative liability arising out of any claim shall not exceed the amount paid by the User for the specific Service giving rise to the claim.

8. Confidentiality and Data Privacy

  • Syntrix exercises reasonable measures to safeguard User data; however, no digital system is fully secure.
  • Users should avoid transmitting sensitive information unless necessary.
  • By using the Platform, Users consent to the Company's data handling practices as outlined in our Privacy Policy.

9. Third-Party Services

The Platform may include links to third-party websites or tools. Syntrix does not endorse or control such external platforms and shall not be responsible for their content, accuracy, or functionality.

10. Termination

Syntrix may, at its discretion, suspend or terminate access to the Platform or Services if:

  • These Terms are breached.
  • Fraudulent, abusive, or unlawful activity is detected.
  • Continued use poses risk to the Company or other Users.

11. Governing Law

Service Agreement Terms

Part II: Client Services. The following terms constitute a legally binding agreement between Syntrix Consulting Private Limited and the Client availing services.

1. DEFINITIONS

1.1 "Services" refers to all consultancy, advisory, compliance, tax, financial, operational, or any related professional services provided by the Company.

1.2 "Agreement" refers collectively to these Terms, any service order form, proposal, scope of work (SOW), or engagement letter executed between the Client and the Company.

1.3 "Confidential Information" refers to any non-public data, documents, business information, or proprietary material shared between the parties.

1.4 "Website" refers to the official online portal of the Company.

2. SCOPE OF SERVICES

  • 2.1 The Company shall provide the Services as mutually agreed in writing with the Client through any formal communication or contractual document.
  • 2.2 The Company reserves the right to modify, enhance, or discontinue any part of its Services at its sole discretion, provided that ongoing engagements shall not be adversely affected without prior notification.
  • 2.3 Any additional work beyond the agreed scope shall be charged separately.

3. CLIENT OBLIGATIONS

  • 3.1 The Client shall provide accurate, complete, and up-to-date information necessary for the Company to perform the Services.
  • 3.2 The Client is responsible for timely cooperation, submission of documents, approvals, and any other support required for successful service delivery.
  • 3.3 The Client shall not misuse, misrepresent, or alter any documents, certificates, or outputs provided by the Company.

4. FEES AND PAYMENT TERMS

  • 4.1 All fees shall be charged as per the mutually agreed quotation, proposal, or invoice.
  • 4.2 Payments are strictly non-refundable unless explicitly stated otherwise in writing.
  • 4.3 Delayed payments beyond the due date shall attract interest at the rate of 18% per annum, calculated daily, until full settlement.
  • 4.4 The Company reserves the right to suspend or terminate Services for non-payment.

5. CONFIDENTIALITY

5.1 Both parties agree to maintain the confidentiality of all Confidential Information shared during the engagement.

5.2 Confidential obligations shall survive termination of the Agreement.

5.3 The Company may disclose information only when ordered by a competent authority or required by law.

6. DATA PRIVACY AND CONSENT

6.1 By engaging our Services, the Client authorizes the Company to collect, store, process, and use relevant personal or business data strictly for the purpose of service delivery.

6.2 The Company shall take reasonable measures to protect data but shall not be liable for breaches beyond its reasonable control such as cyber threats, third-party failures, or force majeure.

7. INTELLECTUAL PROPERTY

7.1 All intellectual property, templates, designs, documents, and methodologies provided by the Company shall remain its exclusive property.

7.2 The Client is granted a limited, non-transferable license to use such material strictly for internal purposes and within the scope of the engagement.

8. REPRESENTATIONS AND WARRANTIES

8.1 The Company provides its Services on a best-effort basis and does not guarantee outcomes dependent on external factors, including but not limited to government processing, approvals, or third-party entities.

8.2 The Company shall not be liable for any errors arising from incorrect or incomplete information provided by the Client.

9. LIMITATION OF LIABILITY

9.1 To the maximum extent permitted by law, the Company's liability shall be limited to the total fees paid by the Client for the specific Service giving rise to the claim.

9.2 Under no circumstances shall the Company be liable for indirect, incidental, consequential, or punitive damages, including loss of business, profit, or data.

10. INDEMNITY

10.1 The Client agrees to indemnify and hold harmless the Company, its directors, employees, and representatives from any claims, liabilities, damages, or expenses arising out of:

  • Misuse of the Services,
  • Breach of these Terms,
  • Submission of false, misleading, or incomplete information,
  • Violation of any law or third-party rights.

11. TERMINATION

11.1 Either party may terminate the Agreement with written notice.

11.2 The Company may immediately terminate Services for: Non-payment, Breach of Terms, Misconduct or fraudulent activities, or Legal/regulatory requirements.

11.3 Upon termination, the Client shall promptly clear all outstanding dues.

12. FORCE MAJEURE

The Company shall not be held liable for delays or failures caused by events beyond reasonable control, including natural calamities, system failures, strikes, governmental restrictions, or similar circumstances.

13. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by the laws of India. Any disputes shall be subject exclusively to the jurisdiction of the courts located in [Insert City], India.

14. AMENDMENTS

The Company reserves the right to revise or modify these Terms at any time. Continued use of Services shall constitute acceptance of such revisions.
